Our services include, planning and structuring the transaction, tax planning, drafting and negotiation of preliminary documents, organizing auctions, setting up data rooms, performing due diligence investigations, drafting and negotiation of stock purchase or asset transfer agreements, creating performance based pricing structures, such as earn-outs, and ancillary agreements such as shareholders agreements and put and call options, management agreements, security documents to guarantee the payment of the purchase price, escrow agreements and any other documents required for a smooth transaction.

Considering that there is no “one size fits all” approach to M&A transactions, we deploy teams that are bespoke to each deal.

During all stages of the process, we work very closely with the client and its financial advisor to achieve a successful and efficient completion of the transaction.

When required, we also make filings with government agencies, such as competition authorities and other regulatory agencies.

Once a deal has been closed, when advising the buyer, we follow through by advising the client on all legal matters that are critical to facilitate a smooth transition and takeover of the business.
