Compliance & Investigations

We advise local and international companies on the design, implementation, and review of their compliance programs, and on conducting internal investigations into matters requiring clarification before Argentine and foreign authorities.
Our approach draws on the firm’s transactional experience: we view compliance as a tool for preserving value, rather than a paperwork exercise.

Our areas of work include:

  • Designing and implementing compliance programs under the framework governing corporate criminal liability
  • Developing risk matrices by business line, geography, and counterparty
  • Drafting codes of conduct and policies on gifts, hospitality, conflicts of interest, and dealings with the public sector, taking into account the rules governing ethics in public office
  • Implementing ethics hotlines and protocols for receiving, triaging, and escalating reports of misconduct
  • Conducting internal investigations and interviews, and preparing reports for boards of directors and audit committees
  • Conducting integrity due diligence on representatives, distributors, local partners, and target companies
  • Drafting integrity clauses, anti-corruption representations and warranties, and indemnification provisions in acquisition transactions
  • Advising entities subject to anti-money laundering and counter-terrorist financing requirements, including on the compliance officer’s role, beneficial ownership identification, and the treatment of politically exposed persons
  • Advising on integrity in government contracting and public procurement processes
  • Analyzing the extraterritorial reach of U.S. and U.K. anti-corruption laws and international sanctions regimes
  • Training boards of directors, management, and sales teams
